Terms of Service - Simprosys Google Shopping Feed App for Shopify

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using our application Simprosys Google Shopping Feed for Shopify (the "App") and services operated by Simprosys ("us", "we", or "our").

Your access to and use of the App is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the App.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the App.

Definitions

• "App" refers to the Simprosys Google Shopping Feed App for Shopify
• "Service" refers to the App and all related services provided by Simprosys
• "User", "you", or "your" refers to the individual or business entity using the App
• "Store" refers to your Shopify e-commerce store
• "Content" refers to product data, information, and materials submitted through the App

Account Creation and Eligibility

When you install the App on your Shopify store, you guarantee that:

• You are above the age of 18 or have legal authority to bind the business entity
• The information you provide is accurate, complete, and current at all times
• You have the legal authority to agree to these Terms on behalf of your business

Permissions and Data Access

When you install the App, we automatically access certain types of information from your Shopify store:

Store Information

We collect basic store information, including:

• Shop Owner's Name, Store Name, Store Domain
• Address, Contact Email, Support Email, Phone Number
• Store Plan and basic store settings

This information is used to:

• Create and manage your account on our App
• Send notification emails regarding process completion or errors
• Facilitate effective communication related to App processes

Read Products

We access product information, including:

• Product titles, descriptions, images, prices
• Barcodes, SKUs, variants, and variant details
• Product categories and tags
• Inventory levels and availability

This permission does not provide access to any personally identifiable information of individual customers.

Order and Customer Data (Optional Features)

For advanced features like Google Calculated Delivery Speed Estimates, we may access:

• Order details including order dates and fulfillment information
• Shipping address zip codes
• Customer information as part of order data

We do not process or store personally identifiable customer information on our servers.

Subscriptions and Billing

Subscription Model

The App operates on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring monthly basis ("Billing Cycle") through Shopify's billing system.

Auto-Renewal

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it through your Shopify admin panel or uninstall our app from your Shopify store admin.

Termination by Simprosys

We may terminate the subscription if we are unable to process payment through Shopify's billing system or if you breach these Terms.

Free Trial

Trial Period

The App offers a 21-day free trial to familiarize yourself with features and functionality. The trial begins immediately upon App installation.

Trial Extensions

Trial extensions may be provided on a case-by-case basis at our sole discretion after account review. We are not obligated to provide trial extensions.

Fee Changes

Pricing Modifications

We may modify subscription fees at our sole discretion. Fee changes apply only to merchants not on paid subscriptions at the time of the change.

Existing Subscriber Protection

Existing paid subscribers remain on their current pricing as long as the App remains continuously installed. Upon uninstalling/reinstalling or changing subscription plans, new pricing applies.

Notice

We will provide reasonable prior notice (minimum 30 days) of fee changes to allow you to terminate your subscription before changes take effect.

Refunds

Refunds are processed under the following conditions:

1. Limited Refund Window: You may cancel and receive a refund by contacting support@simprosys.com within three (3) calendar days after subscription renewal
2. Maximum Refund Period: Refunds shall not exceed one (1) month of subscription fees
3. Refund Limitations: Refunds will not exceed the amount charged for the subscription or add-on features
4. Payment Method: Refunds processed through original payment method when possible

Content and Product Data

Your Responsibilities

You are responsible for all Content submitted through the App, including:

• Accuracy, legality, and appropriateness of product data
• Compliance with Google, Microsoft, Facebook, and other advertising platform policies
• Ensuring you have rights to all product information and images

Platform Policy Compliance

Your product data must adhere to the policies of:

• Google Shopping Ads Policies
• Microsoft Advertising Policies
• Facebook Commerce Policies
• Pinterest Advertising Guidelines

Prohibited Content

Content must not contain:

• Illegal, copyrighted, or plagiarized material
• Impersonated, dishonest, or biased content
• Spam, sexually explicit material, hate speech, or offensive language
• Personal and confidential information
• Cross-promotion of unrelated products or off-topic content

Content License

By submitting Content through the App, you grant us the right to use, modify, and distribute such Content for the purpose of providing our services, including syncing products to advertising platforms.

Data Protection and Privacy

Data Processing

We process data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA.

Third-Party Integration

When you connect third-party advertising accounts (Google, Microsoft, Facebook, or Pinterest), we store authentication tokens to provide our services.

Data Retention

Upon App uninstallation, we retain your data for 30 days to facilitate reinstallation. After 30 days, all data is automatically deleted from our systems.

Google API Compliance

Data obtained through Google APIs is used in strict adherence to the Google API Services User Data Policy, including Limited Use requirements.

Communications

By using the App, you agree to receive:

• Service-related notifications and updates
• Communications regarding App functionality changes
• Bug fix notifications and documentation updates

You may opt out by contacting support@simprosys.com. We do not send promotional emails for cross-selling or unrelated services.

Intellectual Property

Ownership

The App and its original content, features, and functionality remain the exclusive property of Simprosys.

Protection

The App is protected by copyright, trademark, and other laws of India. Our trademarks may not be used without prior written consent.

User Content

You retain ownership of your product data and content while granting us necessary licenses to provide our services.

Indemnification

You agree to defend, indemnify, and hold harmless Simprosys and its employees, agents, officers, and directors from claims, damages, losses, liabilities, and expenses arising from:

• Your use of the App
• Breach of these Terms
• Content posted through the App
• Infringement of third-party intellectual property rights

Limitation of Liability

Simprosys shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from:

• Your access to or inability to access the App
• Third-party conduct or content
• Unauthorized access or alteration of your data
• Any other matter relating to the App

Disclaimer

"As Is" Basis

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

No Warranties

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or course of performance.

No Guarantees

We do not guarantee that the App will:

• Function uninterrupted or be available at all times
• Be free of errors, defects, viruses, or harmful components
• Meet your specific requirements

Service Commitment

Uptime Commitment

We endeavor to maintain 99.9% monthly uptime, excluding downtime caused by:

• Factors outside our reasonable control
• Your breach of these Terms
• Third-party equipment or software defects
• Emergency or scheduled maintenance

Support Response

• 24/7 service monitoring
• Critical issue response within 30 minutes
• Critical bug resolution within 5 working days
• Regular updates during issue resolution

Maintenance Notifications

• Planned maintenance announced via in-app notifications
• Email notification for maintenance exceeding 30 minutes
• Efforts to minimize service disruption

Termination

Termination by You

You may terminate by uninstalling the App from your Shopify store or canceling your subscription through Shopify admin.

Termination by Us

We may terminate your access immediately for:

• Breach of these Terms
• Violation of advertising platform policies
• Fraudulent or illegal activities
• Non-payment of fees

Effect of Termination

Upon termination, your access to the App ceases immediately. Data retention follows our standard 30-day policy.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of India without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

Changes to Terms

Right to Modify

We reserve the right to modify these Terms at our sole discretion.

Notice of Changes

Material changes will be communicated with at least 30 days' prior notice through the App or email.

Continued Use

Continued use of the App after changes constitutes acceptance of revised Terms.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and Simprosys regarding the App.

Severability

If any provision is held invalid or unenforceable, remaining provisions remain in effect.

Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such rights.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations under these Terms.
