Welcome to Proviews Product Reviews & QA (“the App”, “we”, “our”, “us”), a Shopify application available on the Shopify platform. The App is owned and operated by Simprosys Infomedia (“the Company”). These Terms of Service (“Terms”) govern your access to and use of the App, including all related services, features, tools, and content provided by us. By installing, accessing, or using the App, you agree to be bound by these Terms.

Please read these Terms carefully before using the App. If you do not agree with these Terms, you should not use the App.

1. Acceptance of Terms

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and applicable laws and regulations. If you disagree with these Terms, you must uninstall and stop using the App immediately.

2. User Eligibility

To use the App, you must:

• Be a registered user of the Shopify platform.
• Have the legal capacity to enter into binding contracts (i.e., be of legal age in your jurisdiction).
• Comply with all applicable local laws and regulations related to the use of the App.

If you are accessing the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the App on your Shopify store. This license is granted solely for using the App’s features following its intended functionality.

You agree not to:

• Copy, modify, or create derivative works of the App.
• Distribute, sublicense, or sell access to the App.
• Reverse-engineer or decompile the App, except as permitted by law.
• Use the App for any illegal, unauthorized, or harmful purposes.

4. Payment Terms

We may offer the App (or some of its features) on a trial basis, free of charge, for a limited period. After the trial period, the App may be available subject to the payment of applicable fees (“Fees”) as outlined in the pricing section of the App’s Shopify listing or as communicated to you upon subscribing.

By using the App, you agree to pay the applicable fees as presented during the subscription process.

All payments are processed through Shopify’s payment system, and your use of such services is subject to Shopify’s terms and conditions.

We may modify our pricing or offer special promotions, and such changes will be communicated to you in advance.

5. Data Privacy and Security

We are committed to protecting your privacy. Our Privacy Policy governs the collection and use of your data.

By using the App, you consent to collecting, using, and storing your personal information as outlined in our Privacy Policy. Please review the Privacy Policy to understand how we handle your data.

6. Termination and Suspension

Termination by You
You may terminate these Terms anytime by removing the App from your Shopify store.

Termination by Us
In addition to any remedies available to us under applicable law or these Terms, we may, at our sole discretion, suspend or terminate your access to the App if we believe you have misused the App, provided false or fraudulent content, or otherwise breached these Terms. We may take legal and technical measures to prevent further App use.

Effects of Termination
Upon termination, you must immediately discontinue all use of the App. You will no longer have access to the App, including any reviews or content submitted. You may export your reviews and content before termination.

Termination will not affect our right to use the content you provided before termination for promotional purposes, as per the rights granted to us in these Terms.

The following sections shall survive any termination or expiration of these Terms: Fees and Billing, Effects of Termination, Content and Dealings, Your Privacy, Intellectual Property, Limitation of Liability, Indemnification, Governing Law & Jurisdiction, and General.

7. Content and Dealings

When you use the App to enable users to post reviews on your website about products, the App processes such reviews in textual, code, script, audio, or visual form (collectively, “Content”) that you or your users make available through the App. This may include the merchant’s trademark(s) and additional assets.

We do not claim ownership of the Content. However, by using the App to post reviews or uploading content to the App, you grant us a perpetual, royalty-free, worldwide, non-exclusive, sub-licensable, and transferable license to use, display, modify, distribute, and make derivative works from such content, to facilitate the App and promote your website.

By uploading content, you represent and warrant that:

• The content complies with our Acceptable Use Policy and consists of authentic user reviews.
• You have obtained the necessary permissions and licenses to upload the content.
• The content does not infringe upon any third-party intellectual property or privacy rights.

We reserve the right to review the content submitted to the App to ensure compliance with these Terms and our Acceptable Use Policy. Suppose we determine that the content is fraudulent or violates these Terms. In that case, we may remove it without notice and take further action, including suspension or termination of your access to the App.

8. Feedback

We welcome feedback regarding the App. We may use any feedback you provide without restriction and any obligation of confidentiality.

9. Fraud Prevention & Copyright

You may only upload content that originates from genuine user reviews. You may not upload false, misleading, or fabricated reviews, including fake user experiences.

If we receive a complaint of fraud or deception, we reserve the right to terminate your account and delete your reviews immediately. We may also report such complaints to the relevant authorities, and you agree to indemnify and defend Proviews from any claims arising from such fraudulent actions.

DMCA Notice
Proviews respects the intellectual property rights of others and will remove any user content that infringes on third-party rights. If you believe that something appearing on the Application infringes your copyright, you may contact us at support@simprosys.com with notice requesting that it be removed, or access to it blocked. If you believe such a notice has been wrongly filed against you, the DMCA lets you send us a counter-notice. All requests to remove content due to copyright infringement, or to object to a request for such removal, must be made per our Copyright Policy. Proviews accepts no responsibility or liability for the content of any site included in any User Content, or otherwise linked to by the Applications, or for the User’s or third party’s use of such User Content. Proviews reserves the right to remove any User Content without prior notice to you, any other user, or any third-party

10. Your and Your Users’ Privacy

We respect your privacy and that of your users. Our Privacy Policy is incorporated into these Terms by reference and explains how we handle privacy on the App.

11. Disclaimers and Limitations of Liability

Disclaimer: The App is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Limitation of Liability: In no event shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Proviews, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from:

• Your use of the App.
• Your violation of these Terms.
• Any content you submit or transmit through the App.

13. Publicity

You agree that Proviews may disclose your use of the App by displaying your name and logo on Proviews’ website and other marketing materials.

14. Links and Commercial Information in the App

The App may contain links to third-party websites. We do not endorse or sponsor the content of these websites and assume no responsibility or liability for their accuracy, reliability, or legality.

15. Governing Law and Jurisdiction

These Terms, and your use of the Application, will be governed by and interpreted by the laws of the Indian government, regardless of your location or where you access the Application. This excludes any conflict-of-law rules that might otherwise require the application of laws from another jurisdiction.

Any disputes, claims, or issues related to the Application, including its validity, performance, or interpretation, will be exclusively resolved in the competent courts of the Ahmedabad district. By using the Application, both you and we agree to submit to the personal jurisdiction of the Israeli courts and waive any objections related to jurisdiction or venue.

However, we may also file a claim against you: (a) as part of a third-party claim in any court with jurisdiction over that claim, and (b) to seek interim, emergency, or injunctive relief in any court that has general jurisdiction over you.

16. Modifications to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated version on the App or our website. Please review these Terms periodically for updates.

By continuing to use the App, you confirm that you have read, understood, and agree to these Terms.
