This Unverified Reviews Policy (“Policy”) is framed and published by Simprosys Infomedia, operating under the brand name Proviews (“Company”), in accordance with the provisions of the Consumer Protection Act, 2019, the Information Technology Act, 2000(including all applicable rules thereunder), and the Guidelines for Prevention of Misleading Advertisements and Endorsements for Misleading Advertisements, 2022, issued by the Central Consumer Protection Authority (CCPA). This Policy seeks to uphold the principles of
transparency, accountability, and consumer trust in respect of user-generated content, specifically customer reviews collected, managed, and published through the Proviews Platform.

Before you use the platform, you must read all of the terms and conditions of this policy (“Terms”) herein provided on the Website. Please also refer to the additional legal information as may be applicable to you. You must be at least [18] years of age to use our platform/website; by using our platform and agreeing to the contents of this policy, you warrant and represent to us that you are at least [18] years of age. Audience less than 18 years of age should register with credentials of Parent(s) and/or Legal Guardian. The platform shall not be responsible for validating and authenticating your age, however, platform reserves the right to optionally / randomly conduct checks to verify the correctness of legal age of your’ s / your legal guardian’s age registering on platform on your behalf. “we”, “our” and “us” means “the Company”; “you”, “user” and “your” means any person and/or the institutions / organizations etc., but not limited to, who accesses and uses this Platform along with updating their users on this platform.

The Company reserves the right at any point of time, at its sole discretion, to change or otherwise modify the terms of this policy without prior notification or notice to you, and your continued access or use of this platform signifies your acceptance of the updated or modified terms. GENERAL TERMS

This Unverified Reviews Policy constitutes an electronic record within the meaning of the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, and is published in compliance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This document does not require any physical or digital signature and is generated by a computer system. It shall be deemed to have been accepted by the User upon their access to or use of the Platform. By submitting, managing, displaying, or otherwise interacting with customer reviews through the Proviews platform and its associated tools, integrations, or services (collectively referred to as the “Services”), you expressly acknowledge that you have read, understood, and agreed to be bound by the terms and conditions set forth in this Unverified Reviews Policy, as well as any other applicable policies made available on the Platform, including but not limited to the Terms of Service and the Privacy Policy (collectively referred to as the “Agreement”).

If you do not agree to the terms of this Policy, or any future amendments or modifications thereto, you are advised not to submit, display, or rely upon Unverified Reviews and to discontinue any use of the Services to that effect.

PURPOSE AND SCOPE

This Policy applies exclusively to the collection, handling, classification, display, and moderation of Unverified Reviews, as defined herein, submitted through or displayed on the Proviews platform by merchants operating within the territory of the Republic of India. For the purposes of this Policy, the term “Unverified Review” shall mean any review, rating, testimonial, feedback, or similar user-generated content submitted by an individual purporting to have purchased or used a product or service, where such purchase or usage cannot be substantiated or authenticated by Proviews through objective, technical, or transactional evidence obtained from integrated merchant platforms (such as order data, transaction confirmations, or fulfillment records).

REVIEW VERIFICATION MECHANISM

The Company provides a verification mechanism that enables merchants to associate customer reviews with transaction data sourced from integrated third-party platforms. A review shall be considered verified only where the user has placed an order for the reviewed product using identifiable and traceable credentials (such as email address, phone number, or order ID), and such order data can be programmatically matched with the submitted review using tools made available by the Company. In the absence of the above, the review shall be flagged as Unverified within the Proviews System.

TREATMENT AND DISPLAY OF UNVERIFIED REVIEWS

The Company provides merchants with the technological capability to either display or suppress Unverified Reviews at their discretion, subject to the following terms:

a) All Verified Reviews shall be clearly marked with a visible disclosure (e.g., “Verified”) indicating successful transactional verification. This disclosure shall be non-removable and shall appear alongside the review text, wherever displayed. Reviews that do not carry this “Verified” label are to be treated as Unverified by default, although no explicit “Unverified” badge is displayed.

b) Merchants may configure their store widgets to segregate verified and unverified reviews or to display them in distinct sections. The Company encourages this practice to ensure transparency and avoid misleading representations.

c) Merchants are prohibited from modifying or adding the “verified” status or any associated disclosures in a manner that may mislead or misrepresent the nature of the content to end-users.

MODERATION, REMOVAL, AND LIABILITY

The Company reserves the right, in its sole discretion, to remove, redact, or restrict access to any Unverified Review that it determines to be false, misleading, or defamatory; in violation of any applicable laws or regulations, including but not limited to intellectual property laws, consumer protection laws, or the Information Technology Act, 2000; generated through automated means such as bots or spam activity; or in breach of the Company’s Content Guidelines or Acceptable Use Policy. Merchants shall remain solely responsible for determining whether to display, rely upon, or otherwise engage with any Unverified Reviews. The Company disclaims all liability for any consequences arising from the display, reliance on, or use of such reviews by merchants, including but not limited to any reputational, commercial, or legal implications. In instances where an Unverified Review is suspected to be fraudulent or to impersonate another individual, the Company may take appropriate remedial action. Such action may include, without limitation, the suspension or termination of the user’s account and, where necessary or legally required, the referral of the matter to relevant law enforcement authorities.

AMENDMENT AND REVISION

The Company reserves the unconditional right to amend, revise, or update this Policy at any time, with or without prior notice, to reflect changes in applicable laws and regulations, technological developments, evolving industry standards, or modifications to the Company’s internal policies, practices, or business operations. Such amendments may include, but are not limited to, changes in processes, user responsibilities, rights and obligations, or enforcement mechanisms under this Policy. Any revisions to this Policy shall become effective immediately upon their publication on the official website of the Company or through any other medium as may be determined appropriate by the Company. It is the responsibility of users, merchants, and other stakeholders to review this Policy periodically to stay informed of any changes. Continued access to or use of the Company’s services after the effective date of such revisions shall be deemed to constitute acknowledgment and acceptance of the modified Policy. In cases where material changes are made that significantly affect users’ rights or obligations, the Company may, but is not obligated to, provide additional notice through email or platform notifications. However, failure to receive such notice shall not affect the enforceability of any such amendments.

CROSS-BORDER DATA TRANSFERS

In the course of collecting, processing, verifying, or displaying Unverified Reviews, certain personal data of users (such as contact information or transactional identifiers) may be stored, processed, or transferred to servers, cloud-based infrastructure, or third-party service providers located outside the territory of the Republic of India. Such transfers are conducted strictly for the purposes of providing the Services, enhancing platform functionality, ensuring data redundancy and security, or integrating with merchant systems and service providers. The Company undertakes to implement appropriate contractual, technical, and organizational safeguards to ensure that transferred data is subject to an adequate level of protection consistent with internationally accepted standards of data security and privacy. By using the Platform and submitting Unverified Reviews or associated data, you expressly consent to such international transfers of your data. You acknowledge that jurisdictions outside India may have different levels of data protection, and you agree that the Company shall not be held liable for any act or omission of foreign recipients provided that the Company has exercised reasonable care and due diligence in engaging such recipients. If you are a user or merchant operating in a jurisdiction that restricts cross-border data transfers or requires specific authorizations, you are responsible for ensuring compliance with such laws before using the Platform. The Company disclaims any liability arising from failure to comply with such local requirements.

GOVERNING LAW AND JURISDICTION

The Company controls and operates this Platform from its headquarters in Ahmedabad (Gujarat), India and makes no representation that the Services offered on the Platform are appropriate or available for use in other locations or jurisdictions. If you use this Platform from other locations/jurisdictions, you are responsible for compliance with applicable local laws (including the taxation aspect, Fiscal and Economic Laws) and regulations including but not limited to the export and import regulations of other countries. Unless otherwise explicitly stated, all marketing or promotional materials found on this Platform are solely directed to individuals, companies, or other entities interested in getting onboarded onto the platform for the services as may be enlisted therein from time to time. By agreeing to these terms and conditions of use, you confirm and undertake that neither you nor any of your representatives shall have the right to challenge the governing law and jurisdiction as more specifically set out herein.
