By accessing the platform: https://proviews.com/ (hereinafter referred to as “Website”, “Platform” and/or “Application”, which shall mean and be used interchangeably having the same meaning) is developed, operated and maintained by Simprosys Infomedia (hereinafter referred to as “the Company”), a company having its registered office at B-303, Shapath Hexa, Opp. Gujarat High Court, S.G. Highway, Ahmedabad , Gujarat – 380060 India, you agree to be legally bound by following content policy and other incidental or related aspects for use.

This Content Policy (“Policy”) sets out the terms and conditions that govern the submission, publication, management, and removal of content on or through the Platform. This Policy shall be read in conjunction with our Terms of Service, Privacy Policy, and any other applicable documentation or policies published by the Platform. By accessing or using the Platform, including by submitting or displaying any form of content such as text, images, ratings, reviews, questions, answers, and user feedback (collectively referred to as “Content”), users hereby acknowledge that they have read, understood, and agreed to be bound by the provisions of this Policy. This Policy is governed by the laws of India, including but not limited to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (“DPDPA”), and shall be interpreted accordingly.

Before you use the platform, you must read all of the terms and conditions of this policy (“Terms”) herein provided on the Website. Please also refer to the additional legal information as may be applicable to you. You must be at least [18] years of age to use our platform/website; by using our platform and agreeing to the contents of this policy, you warrant and represent to us that you are at least [18] years of age. Audience less than 18 years of age should register with credentials of Parent(s) and/or Legal Guardian. The platform shall not be responsible for validating and authenticating your age, however, platform reserves the right to optionally / randomly conduct checks to verify the correctness of legal age of your’ s / your legal guardian’s age registering on platform on your behalf.

“we”, “our” and “us” means “the Company”; “you”, “user” and “your” means any person and/or the institutions / organizations etc., but not limited to, who accesses and uses this Platform along with updating their users on this platform.

It is strongly recommended to you to visit this page periodically to review the most recent and current version of this policy. The Company reserves the right at any point of time, at its sole discretion, to change or otherwise modify the terms of this policy without prior notification or notice to you, and your continued access or use of this platform signifies your acceptance of the updated or modified terms. If you object to this policy or any subsequent modifications to this policy or become dissatisfied with the platform in any way, you should immediately terminate the use of this platform. Should parts of this information not or no longer comply with applicable law, the remaining parts of the information remain unaffected in terms of its content and validity.

GENERAL TERMS

This Content Policy constitutes an electronic record within the meaning of the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 of India. It is published in compliance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and does not require any physical or digital signature. This electronic record is generated by a computer system and shall be deemed to have been accepted by the User upon use of the Platform.

By accessing, submitting content to, or using any part of the platform and its associated services, tools, or software (collectively referred to as “Services”), you expressly acknowledge that you have read, understood, and agreed to be bound by the terms and conditions contained in this Content Policy, along with the other applicable policies made available on the Platform, including but not limited to the Terms of Service and the Privacy Policy (collectively referred to as the “Agreement”).

If you do not agree with the terms set out herein, including any future modifications thereof, you are advised to refrain from submitting content or continuing use of the Platform or its Services.

PURPOSE AND SCOPE

This Policy applies to all individuals and entities (collectively referred to as “Users”) who submit Content through the platform, including but not limited to merchants using the application on e-commerce platforms, as well as customers who submit reviews, feedback, or any user-generated content via such merchant websites. The intent of this Policy is to ensure that all Content hosted or displayed through is lawful, respectful of individual rights, non-discriminatory, and in adherence with both applicable laws and community standards. The Policy seeks to uphold the integrity, reliability, and quality of the information ecosystem facilitated by the platform while ensuring compliance with data protection principles under the DPDPA.

COLLECTION OF PERSONAL INFORMATION

In the ordinary course of operating the Platform and providing the Services, the platform necessarily receives and processes certain items of “personal data” within the meaning of the Digital Personal Data Protection Act, 2023 (“DPDPA”). We acknowledge the fundamental right to privacy and reaffirm our commitment to protecting the confidentiality, integrity, and availability of every datum that can identify, relate to, describe, or be linked, directly or indirectly, to an individual natural person. Accordingly, we maintain and continuously enhance a combination of managerial, technical, organisational, and physical safeguards designed to ensure that all personal data in our custody are collected lawfully, processed fairly and for limited purposes, stored no longer than is necessary, and secured against unauthorised or unlawful access, alteration, disclosure, loss, or destruction. A User is deemed to have furnished free, specific, informed, unconditional, and unambiguous consent for such processing at the moment the User registers on, authenticates with, or otherwise utilises the Platform or any functionality thereof; such consent forms the primary basis of processing contemplated by this Policy and is further supplemented, where applicable, by contractual necessity and the legitimate interests of our and its merchant-customers.

CATEGORIES AND SOURCES OF PERSONAL INFORMATION

Personal data may be collected, received, or otherwise made available to the Platform through the following three principal sources, each in accordance with applicable law and for legitimate, specified purposes. Each category of information is collected and processed in accordance with the lawful bases stipulated under the Digital Personal Data Protection Act, 2023:

  1. Information Directly Provided by the User: This includes any personal data voluntarily submitted by the User during the course of using the Platform or its Services, such as:
  • Full name and aliases
  • Postal address and email address
  • Telephone number
  • Photographs or other images
  • Social media profile links and associated identifiers
  • Demographic details including age, gender, and location
  • Any narrative content, reviews, survey responses, ratings, or multimedia materials voluntarily uploaded or submitted via the Platform

2. Information Automatically Collected Through User Interaction: When a User accesses or interacts with the Platform, we may collect limited device- and usage-level data for legitimate operational purposes, including:

  • Internet Protocol (IP) address
  • Browser type and version, and operating system identifiers
  • Device associated metadata
  • Language settings and time-zone preferences
  • Session duration, navigation paths, and frequency of page visits
  • Cookies and similar session-identification technologies used for system functionality and analytics

3. Information Received from Merchant-Customers and Third Parties: In our role as a data processor on behalf of merchant-customers, we may receive personal data through integrations or direct transmission, such as:

  • Order IDs, product SKUs, purchase history, and spend information
  • Status of rewards, incentives, or promotional fulfilments
  • User identifiers associated with reviews or transactions
  • Contact details (e.g., name, phone number, email, postal code) as shared by merchant-customers
  • Where a User authenticates via a federated social login (e.g., Google, Facebook), we may receive: Email address and full name, Social media profile picture and links, Age, gender, location, interests, or any profile data that the User has permitted the third-party platform to share

All such data are collected strictly for the purposes enumerated in this Policy and shall not be used for speculative, excessive, or extraneous objectives. The Platform undertakes to process only the minimum amount of data necessary to enable lawful and contractually required functionalities, in alignment with the data minimisation and purpose limitation principles prescribed under the DPDPA.

The personal data so collected are processed for clearly delineated and proportionate purposes: 

  1. to enable and optimise the core review, rating, question-and-answer, and survey functionalities on which Proviews’ merchant-customers rely; 
  2. to display authentic user-generated content on merchant storefronts and affiliated marketing channels; 
  3. to execute ancillary marketing campaigns, promotions, or loyalty incentives expressly requested by or contractually owed to our customers; 
  4. to maintain secure user accounts, investigate suspicious or fraudulent activity, and enforce the terms of this Policy; 
  5. to compile aggregated, anonymised analytics that assist Proviews in refining, augmenting, and benchmarking its Services; and
  6. to store communications so that disputes, support tickets, and technical incidents may be efficiently resolved;

In every instance, processing is limited to what is reasonably necessary to achieve the above-stated purposes, and personal data that no longer serve any legitimate objective are either irreversibly anonymised or securely erased in accordance with our retention schedule.

NATURE OF PERMISSIBLE CONTENT

Users are strictly prohibited from uploading, posting, publishing, transmitting, or otherwise making available through the platform any content that is false, misleading, defamatory, harassing, offensive, threatening, obscene, vulgar, profane, sexually explicit, discriminatory, hateful, or otherwise unlawful under Indian law. Furthermore, any Content that violates the intellectual property rights, moral rights, or proprietary rights of any third party, including but not limited to trademarks, copyrights, trade secrets, and patents, is not permitted. Users shall also refrain from submitting any Content that constitutes or encourages conduct that would amount to a criminal offence, give rise to civil liability, or otherwise violate any applicable law or regulation.

In particular, Users are prohibited from submitting Content that contains or disseminates personal data of any individual (including names, email addresses, photographs, phone numbers, or other personally identifiable information) without having obtained their explicit and valid consent. The platform reserves the right to request evidence of such consent and may remove any Content that is found to have been submitted without lawful basis.

OBLIGATIONS OF THE USER

Each User acknowledges and agrees that they are solely responsible for any Content submitted by them and for the consequences arising from the publication or transmission of such Content through the platform. By submitting Content, the User represents and warrants that 

  1. they own or have obtained all necessary rights, consents, and permissions to use and authorize the platform to use the Content in the manner contemplated by this Policy and our platform’s functionalities, and 
  2. the Content does not and will not violate any applicable law, regulation, or the rights of any third party. Users further agree that they shall not knowingly upload or propagate any malware, ransom ware, viruses, or any other form of harmful code through the platform.

The User agrees not to engage in any manipulative or deceptive practice intended to artificially inflate or deflate product ratings, suppress negative reviews, or otherwise distort the authenticity of user-generated content. Any such activity shall constitute a material breach of this Policy and may lead to immediate suspension or termination of access to the platform, in addition to legal recourse under applicable law.

CONTENT MODERATION AND PLATFORM’S RIGHTS

The Platform reserves the right, but shall not be obligated, to monitor, review, screen, moderate, and remove Content at its sole and absolute discretion, with or without notice to the User, however, the content may be removed or access to it restricted if it is found, or reasonably suspected, to be in violation of this Policy, our Terms of Service, applicable laws, or pursuant to any lawful order, governmental direction, or third-party complaint. In exercising its discretion, Proviews may employ automated filters, moderation tools, or manual review processes to evaluate submitted Content.

Without prejudice to the generality of the foregoing, Proviews expressly disclaims any obligation to retain or store any Content for any specific period unless otherwise required under law. Users are encouraged to maintain backup copies of any important Content independently.

INTELLECTUAL PROPERTY AND LICENSING

By submitting Content through the platform, the User grants to Proviews a non-exclusive, worldwide, royalty-free, irrevocable, and transferable license to use, host, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from such Content for the purposes of operating, promoting, and improving the platform and its services, subject to our Privacy Policy and applicable law. This license shall continue for as long as the Content remains available on the platform, and thereafter for archival and legal compliance purposes.

The User retains ownership of their intellectual property rights in the Content but agrees that Proviews may store and use such Content for platform functionality, moderation, and promotional activities.

CONFIDENTIALITY

All information shared by the user with the Platform and/or the Company shall deem to be confidential information and the Platform has put in reasonable and appropriate protective measures to ensure that confidentiality of the same is protected.

However, if such information is shared with any third parties such party shall be responsible for maintaining the confidentiality of the same as per the applicable laws and shall be liable in case of any breach.

All information shared by third parties with the user on the Platform shall also be treated as confidential information (unless the same is available in public) and the user shall take appropriate and reasonable measures in its system to protect the same at its end. Any breach or negligence in this regard at the user’s end leading to any third-party claims on the user, the company and/or the Platform shall be handled and settled by the user at its own cost and expense and the company shall not be responsible or liable for the same.

LINKS AND BROWSER EXTENSION

The Platform or third parties may provide links to other World Wide Web sites or third-party resources. Such third-party contents and links are provided solely for your convenience and information only. As the Company has no control over such sites and resources, you acknowledge and agree that the Company is not responsible for the availability of such third party external sites or resources, and does not endorse and is not responsible or liable in any manner whatsoever for any such third party content, advertisements, products or other materials on or available from such third party sites or resources. You further acknowledge and agree that the company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third party content, goods or services available on or through any such third party site or resource. Company reserves the rights to store and process the browsing history as may be required for internal analysis purposes.

AMENDMENT AND INTERPRETATION

The Platform reserves the unilateral right to amend, update, modify, or revise this Content Policy at any time, with or without prior notice, in order to comply with changes in law, business operations, or platform functionality. The most current version of the Policy shall be published on the official website of Proviews and shall supersede any prior versions. Continued use of the platform after any such changes shall constitute deemed acceptance of the revised Policy. In the event of any conflict between this Policy and any other policy or agreement, the provisions of this Policy shall prevail to the extent of such conflict, unless otherwise expressly provided.

LOCAL LAWS

The Company controls and operates this Platform from its headquarters in Ahmedabad (Gujarat), India and makes no representation that the Services offered on the Platform are appropriate or available for use in other locations or jurisdictions. If you use this Platform from other locations/jurisdiction, you are responsible for compliance with applicable local laws (including the taxation aspect, Fiscal and Economic Laws) and regulations including but not limited to the export and import regulations of other countries. Unless otherwise explicitly stated, all marketing or promotional materials found on this Platform are solely directed to individuals, companies or other entities interested to getting on boarded onto platform for the services as may be enlisted therein from time to time. By agreeing to these terms and conditions of use, you confirm and undertake that neither you nor any of your representatives shall have the right to challenge the governing law and jurisdiction as more specifically set out herein.

LIMITATION OF LIABILITY

The Company, its directors, officers, employees, agents, affiliates, licensors, or service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation, loss of profits, business interruption, loss of data, goodwill, or other intangible losses, arising out of or in connection with the submission, publication, use, misuse, reliance upon, or removal of any Content on or from the platform, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

The Platform does not assume any responsibility or liability for any content posted, transmitted, displayed, or otherwise made available by Users on the platform, nor does it endorse or guarantee the accuracy, integrity, legality, or quality of such content. Users acknowledge that any reliance placed upon content submitted by other Users shall be at their sole risk and discretion.

This limitation of liability is an essential element of the agreement between the User and the platform and shall survive termination or expiry of this Policy or the User’s access to the platform.

CROSS-BORDER DATA FLOWS

The Company may collect, process, and store personal data of users located both within and outside the country in which it operates. Accordingly, data, whether collected from domestic or foreign users, may be transferred across international borders for purposes such as content moderation, data storage, analytics, service enhancement, or to fulfil other operational requirements.

All such cross-border data transfers are carried out in accordance with applicable data protection laws and regulations. Where required, the Company implements appropriate safeguards such as Standard Contractual Clauses, adequacy determinations, or other legally recognized transfer mechanisms to ensure that personal data continues to be protected in a manner consistent with applicable legal standards.

By using the Company’s services or platforms, users, irrespective of their country of residence, acknowledge and consent to the transfer, processing, and storage of their data in jurisdictions that may have different or less stringent data protection rules than their own.
