These Terms of Service (“Terms”) govern your access to and use of the Simprosys APIs Application (“App”, “Service”), provided by Simprosys InfoMedia (“Company”, “we”, “us”, “our”). By installing, integrating, or using the App, you (“you”, “your store”, “user”) agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business.

2. Service Description

The Simprosys APIs App integrates with e-commerce platforms (including open-source and CRM-based stores) to submit product data and related information to marketing platforms such as Google, Microsoft, and Meta (Facebook). The Service may include features such as product feed generation, conversion tracking, performance monitoring, and API integrations.

3. Account and Access

• To use the Service, you must grant the App the necessary permissions through your store platform.
• You are responsible for maintaining the confidentiality of your access credentials and API keys.
• You agree to notify us immediately of any unauthorized use of your account or API credentials.

4. License and Restrictions

We grant you a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms.

You may not: - Reverse-engineer, decompile, or disassemble the App. - Use the App for unlawful, fraudulent, or abusive purposes. - Resell, sublicense, or make the App available to third parties without prior consent. - Interfere with or disrupt the security, integrity, or performance of the Service.

5. Subscription and Payments

• Some features of the App may require a paid subscription.
• Fees are charged as per the pricing plan selected at the time of subscription.
• Payments are processed through the respective e-commerce platform’s billing system (e.g., Shopify, WooCommerce) or directly via our authorized payment providers.
• All fees are non-refundable except as required by applicable law.

6. User Responsibilities

You agree to: - Provide accurate and up-to-date information when using the Service. - Comply with all applicable laws, regulations, and platform policies (e.g., Google Merchant Center, Meta Ads). - Ensure that the data you share with marketing platforms via the App complies with their terms of service and policies.

7. Data and Privacy

• Your use of the Service is also governed by our Privacy Policy.
• You retain ownership of your store’s data. By using the Service, you grant us a limited right to access, process, and transmit your data solely to provide the App’s functionality.

8. Third-Party Services

Our App may interact with third-party services (e.g., Google, Microsoft, Meta, Pinterest, TikTok). We are not responsible for the terms, policies, or practices of these third parties. Your use of such services is subject to their respective terms.

9. Intellectual Property

All intellectual property rights in the App (including but not limited to software, trademarks, designs, and documentation) remain the exclusive property of Simprosys InfoMedia. You may not copy, modify, or distribute any part of the App without prior written consent.

10. Termination

We may suspend or terminate your access to the App if: - You violate these Terms. - You misuse the App or engage in fraudulent activity. - Required by law or regulatory authorities.

You may discontinue using the App at any time by uninstalling or disabling it from your store platform.

11. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be error-free, uninterrupted, or meet your expectations.

12. Limitation of Liability

To the maximum extent permitted by law: - We are not liable for indirect, incidental, or consequential damages (including lost profits, data loss, or business interruption). - Our total liability for any claim arising under these Terms shall not exceed the fees paid by you for the Service in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Simprosys InfoMedia and its affiliates from any claims, liabilities, damages, or expenses arising out of: - Your misuse of the App. - Your violation of these Terms. - Your violation of third-party rights (including intellectual property or data protection rights).

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

15. Modifications

We may update or revise these Terms at any time. Significant changes will be communicated via email or in-app notifications. Continued use of the App constitutes acceptance of the revised Terms.
